These Master Terms and Conditions ("Master Terms") govern your relationship with Ethiceverse OÜOÜ ("Company", "we", "us", "our") and apply to all services, products, and platforms offered through our websites and applications.
2. ACCEPTANCE OF TERMS
By creating an account, subscribing to a service, purchasing a product, or otherwise using our platforms, you agree to be bound by:
- These Master Terms; AND
- The specific Terms and Conditions of the particular service or product you are purchasing (e.g., AIBOS Terms, OPhoneix Terms, PlantiKure Terms, E-commerce Terms).
In the event of any conflict between these Master Terms and the specific service terms, the specific service terms shall prevail for matters relating to that service.
3. ELIGIBILITY
You must be at least 18 years old and have the legal capacity to enter into binding contracts to use our services. If you are using our services on behalf of a company, you represent and warrant that you have authority to bind that company.
4. USER ACCOUNTS
- You are responsible for maintaining the confidentiality of your account credentials.
- You are responsible for all activities that occur under your account.
- You must notify us immediately of any unauthorized use of your account.
- We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.
5. PAYMENT TERMS
- All prices are in Euros (€) and exclude VAT unless otherwise stated.
- Payment is due at the time of purchase or subscription.
- We accept major credit cards, PayPal, and other payment methods as indicated at checkout.
- You authorize us to charge your payment method for all fees incurred.
6. TAXES AND VAT
- Prices displayed may exclude VAT (Value Added Tax / Käibemaks).
- For EU B2B customers (businesses with a valid VAT number): Transactions are subject to the reverse charge mechanism (VAT 0%, with both VAT numbers indicated on the invoice).
- For EU B2C customers (consumers): VAT is applied at the rate of the customer's country of residence, in accordance with the EU OSS (One Stop Shop) regime.
- For customers outside the EU: Transactions are generally outside the scope of Estonian VAT (0%).
- You are responsible for any additional taxes, duties, or customs fees applicable in your jurisdiction.
7. INTELLECTUAL PROPERTY
- All intellectual property rights in our platforms, software, algorithms, AI models, designs, logos, trademarks, and content are owned by Ethiceverse OÜ or its licensors.
- These Master Terms do not grant you any rights to use our trademarks, logos, or proprietary technology except as expressly permitted in the specific service terms.
- You retain ownership of any content you submit to our platforms, but you grant us a license to use, store, and process it solely for the purpose of providing the services to you.
8. PROHIBITED CONDUCT
You agree NOT to:
- Use our services for any unlawful purpose or in violation of any applicable laws.
- Attempt to gain unauthorized access to our systems, networks, or other users' accounts.
- Reverse engineer, decompile, or disassemble any part of our software or platforms.
- Transmit viruses, malware, or any other malicious code through our platforms.
- Interfere with or disrupt the integrity or performance of our services.
- Resell, sublicense, or provide unauthorized access to our services to third parties.
9. LIMITATION OF LIABILITY
- To the maximum extent permitted by Estonian law, our total liability for any claims arising out of or related to these Master Terms or our services shall not exceed the amount paid by you to us in the 12 months preceding the claim.
- We are not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill.
- We are not liable for any failure or delay in performance due to causes beyond our reasonable control (force majeure), including natural disasters, war, terrorism, government actions, internet outages, or third-party service failures.
10. PRIVACY AND DATA PROTECTION
Your use of our services is also governed by our Privacy Policy [link to Privacy Policy], which explains how we collect, use, and protect your personal data in accordance with the EU General Data Protection Regulation (GDPR) and Estonian data protection laws.
11. MODIFICATIONS
- We reserve the right to modify these Master Terms at any time. We will notify you of material changes by email or through our platforms.
- Your continued use of our services after the effective date of the revised Master Terms constitutes your acceptance of the changes.
12. GOVERNING LAW AND DISPUTE RESOLUTION
- These Master Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia.
- Any disputes arising out of or in connection with these Master Terms shall first be attempted to be resolved through good-faith negotiation.
- If negotiation fails, the dispute shall be settled in the Harju County Court (Tallinn, Estonia), unless mandatory consumer protection laws provide otherwise.

13. SEVERABILITY
If any provision of these Master Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
